1. Publisher

The Constella application (the “App”) and its related services (the “Service”) are published by Kubilay YANAR EI (Bethkepha), entreprise individuelle (EI) (“Constella”, “we”, “us”).

2. Purpose and acceptance

Constella is an app for two: two people who know each other form a private duo, post wishes, goals and tasks (“bubbles”), take them on, approve them and give each other a reward in return. A game goes along with the duo’s life: experience points (XP), levels, achievements, streaks, chests, boosters, collectible cards and the duo’s sky.

These terms and conditions (the “Terms”) govern your use of the Service. Article 9 sets out the terms of sale for the service fees charged on bubbles with money. You accept the Terms by ticking the box provided at sign-up; the date and version you accepted are recorded. The Privacy Policy explains how your data is processed.

The Terms are available at any time in the App (Profile › Settings › About) and at this address; you can save and print them. On request to support, we will send you the version you accepted.

The App is free to use. Only bubbles whose reward is money involve service fees (Article 9). The Constella PLUS and Constella MAX subscriptions are optional and paid; they are bought through the App Store or Google Play, and Article 10 sets out their terms of sale.

Constella’s role. Constella is an online platform within the meaning of Article L.111-7 of the French Consumer Code: it connects the two members of a duo, who act as private individuals, in their private capacity, and not as professionals. The commitments made in a bubble (the task, the promised reward, the sum given) are agreed between them: Constella is not a party to them, does not sell these tasks and does not guarantee that they are carried out (Articles 7.4 and 15). Between private individuals, the protective rules of consumer law (right of withdrawal, legal guarantees) do not apply; they do apply, however, to everything Constella provides to you itself: the Service, the service fees (Article 9) and the subscriptions (Article 10). No ranking is paid for: the bubbles on a wall are shown in the order of the sort you choose (priority set by the Author, value, date), and the friends leaderboard (Article 8) follows only the criteria it displays.

4. Access conditions

5. Your account

Keep your password confidential. You can turn on two-factor authentication (one-time code); you then receive recovery codes, which remain your responsibility. Constella will never ask for your password, a login code or your card details, whether by email, notification or through support.

You must provide accurate information and keep it up to date. You are responsible for the use of your account; tell support straight away if you suspect fraudulent access.

The App uses your phone’s language (which you can change in Profile › Settings), your time zone and your phone’s region. Your country is determined, from most to least reliable, from your Stripe payment account, the country code of your verified number, and then your phone’s region; it determines whether money is available to you and in which currency. Your partner’s country is never shown to you.

6. The duo

7. Bubbles and rewards

7.1 Posting

The Author chooses the bubble’s type, its title, an optional description, a priority and a reward. As long as no partner has taken it on, the Author can edit its text. Weekly allowances, shown in the App, limit certain rewards.

7.2 Taking on, completing, approving

The partner freely takes on a bubble and can withdraw as long as they have not marked it as done. When they mark it as done, the Author approves it or asks for changes. Constella never judges the quality of a task: only the Author’s approval triggers the reward. Before taking a bubble on, the partner may once suggest a different price or a different reward; the Author accepts or declines it.

7.3 Time limits

7.4 Rewards without money

Vouchers, surprises, jokers and swaps are moral commitments between partners, recorded in the App. Constella does not guarantee that they will be honoured and does not intervene in their use. A swap links two bubbles; if one of them closes, the other becomes a “for love” bubble.

8. The game

9. Money between partners: terms of sale

This article only applies to bubbles whose reward is a sum of money.

9.1 Where money is available

Money is only offered to a duo if both its members live in a country where Constella has opened it, and both countries use the same currency; that is then the duo’s currency. The list of open countries changes over time. Elsewhere, the App works fully, without money.

9.2 Stripe’s role: Constella never holds your funds

Payments are processed by Stripe (Stripe Payments Europe, Limited, or the Stripe entity responsible for your country), a licensed institution that provides the payment services; Constella is neither a bank nor a payment institution. To pay, you save a card (or Apple Pay, Google Pay) in Stripe’s secure form. To receive, you activate your Wallet: Stripe opens a payment account in your name and verifies your identity and bank details, as part of its anti-money-laundering and anti-fraud obligations. The payment services Stripe provides to you for receiving money are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement terms (together, the “Stripe Services Agreement”): by activating your Wallet, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time, which binds you directly to Stripe. So that Constella can enable these services for you, you agree to provide Constella and Stripe with accurate and complete information, and you authorise Constella to share this information and transaction information related to your use of Stripe’s payment services with Stripe. Stripe may, under its agreement or the law, request supporting documents, or delay, refuse or suspend a payment or an account.

Constella never sees your card numbers or bank details. Constella never holds Users’ funds: the amount of a bubble is settled directly to the Doer’s Stripe account; Constella only receives its service fees.

9.3 How a payment works

  1. Posting: the amount and the service fees are held (pre-authorised) on the Author’s payment method; nothing is charged. The hold is renewed automatically, at least every 7 days; if the bank refuses, the bubble expires and both members are notified. When paying, your bank may ask you to confirm the transaction (strong customer authentication, known as “3-D Secure”).
  2. Approval: the amount and the fees are charged; the sum is settled to the Doer’s Stripe account. It stays blocked there for a few days before it becomes available, so that any chargeback has time to arrive: normally 7 days after collection; this period may be shorter for some payments, depending on how they were authenticated and on the accounts’ history, or longer in case of suspected fraud, a dispute or at Stripe’s request. The date on which each sum becomes available is shown in the Wallet. The Doer then requests its transfer to their bank account whenever they wish, from their Wallet (“Transfer to my account”), once their available balance reaches €30 (or the rounded equivalent in their currency): the whole available balance is transferred, minus a withdrawal fee of €2 per transfer, collected by Constella. A transfer of at least €80 is free, once per rolling period of 30 days (counted from the last free transfer; a free transfer rejected by the bank does not count). The fee, or the fact that it is free, and the amount that will arrive are shown before confirmation. The Doer authorises Constella to collect the withdrawal fee and the automatic transfer fee described below from the balance of their Stripe account, once the transfer has been created; if their bank rejects a transfer whose fee was collected, their next requested transfer is free. An available balance that has not been transferred for 75 days is transferred automatically, whatever its amount, to comply with Stripe’s rules, minus an automatic transfer fee of €2, collected by Constella and capped at the balance: a balance of €2 or less is transferred in full, free of charge; this automatic transfer is free under the same conditions as a requested one (from €80, once every 30 days). The automatic transfer fee only applies if the Doer has accepted the version of these terms that provides for it; otherwise, that transfer is made free of charge. Fees are stated in euros; in other currencies, the equivalent shown in the App applies, or no fee when the App shows none. The transfer then arrives within usual bank processing times (generally one to three business days).
  3. Cancellation or expiry: the hold is released; nothing is charged.

If the price was negotiated, you are never charged more than what was held: an increase requires a new hold.

9.4 Service fees

On top of the bubble’s amount, Constella charges the Author service fees: 9% of the amount plus a fixed part. The fixed part depends on the currency. The exact amount of the fees is shown before you post. The prices shown are final prices, including any applicable taxes (Constella’s VAT status: Article 1). A receipt is available for each payment; a note detailing the service fees is provided on request to support. Fees are only charged on approval; a cancelled or expired bubble costs nothing. Unless a commission is announced in the App, the Doer receives the full amount on their Stripe account; only the withdrawal fee and the automatic transfer fee (article 9.3) are deducted from their balance when a transfer is made. Service fees are not refunded, including when the amount of a bubble is refunded, except in the event of an error attributable to Constella and without prejudice to your statutory rights.

9.5 Right of withdrawal

Service fees pay for a service Constella provides to you: connecting the duo and processing a bubble’s payment. This contract is concluded when the bubble is posted, and the service is fully performed on approval. Within 14 days of posting, and as long as you have not approved the bubble, you can exercise your right of withdrawal without giving any reason (Articles L.221-18 et seq. of the French Consumer Code): by cancelling the bubble if nobody has committed to it (Article 7.3), or otherwise by sending your decision to support (Help and support, or contact@constellatcg.com), for example using the form below. The bubble is then cancelled, the hold released without any charge, and the Doer is informed. By approving a bubble, you expressly request full performance of the service before the end of the withdrawal period, and you acknowledge that you lose your right of withdrawal on the service fees, the service then being fully performed (Article L.221-28 1° of the French Consumer Code; Article 16(a) of Directive 2011/83/EU). The bubble’s amount, paid to your partner at your request, is not a service provided by Constella: it is part of your commitments between private individuals (Article 2).

9.6 Failed charges and disputes

If the charge is declined after approval, the Author is informed and can try again; since the bubble has been completed, the sum is still owed to the Doer. A bank dispute (“chargeback”) of an approved payment is handled with Stripe; an abusive dispute may lead to the account being suspended. In the event of a bank dispute or chargeback, or of a refund of a bubble’s amount, the sum paid to the Doer may be taken back from them.

9.7 Limits

Each currency has a minimum and maximum amount per bubble, shown in the App; the minimum is €10 for a bubble in euros, and its rounded equivalent in other currencies (for example £10, CHF 10, 100 kr or 40 zł). Caps over 24 hours and 30 days, and a maximum number of posts per hour, apply to prevent fraud; they may be adjusted.

9.8 Nature of the sums and taxes

The sums exchanged are tokens of affection between people close to each other and are part of their private life. They are not remuneration paid by Constella and do not make Users service providers. Each person remains responsible for any tax and social security obligations in their country; in France, these are explained on impots.gouv.fr and urssaf.fr (Article 242 bis of the French General Tax Code). A yearly statement of the sums received and given is available in Wallet › Statement.

Constella’s reports to the tax authorities. Platform operators must, in the cases provided for by law, collect information about Users who receive sums through them and report it every year to the French tax authorities, which may pass it on to the other Member States of the European Union (Articles 1649 ter A et seq. of the French General Tax Code, which transpose Directive (EU) 2021/514, known as “DAC7”). Where these rules apply to you, Constella may ask for your name, address, date of birth, tax identification number and the details of the account that receives the sums; it then reports the sums received and the fees collected, and sends you the information concerning you before the report. If you do not provide this information despite two reminders, Constella may, as the law provides, suspend the receipt of money on your account until it is provided.

9.9 Prohibited uses

Constella’s money feature must not be used to pay for a business activity, make a loan, pay a third party outside the duo, gamble, launder money, finance an illegal activity or get around the caps. Constella and Stripe may block a payment or suspend an account if they suspect such use.

10. Constella PLUS and Constella MAX subscriptions: terms of sale

10.1 The plans

Two optional monthly subscriptions that renew automatically are offered in the App: Constella PLUS and Constella MAX. The App remains fully usable without a subscription. A subscription is personal: it applies to your account, in all your duos, on iPhone as on Android; it is not shared with your partner, nor through family sharing.

10.2 The benefits

The current details are shown in the App before purchase. Game items obtained through a subscription remain subject to Article 8 (no monetary value, chance, changing rules). Constella may change what the plans include for one of the reasons set out in Article 8 (“Changing rules”), free of charge for you. A change that reduces your benefits more than in a minor way is announced to you by email or in the App at least 30 days before it applies, with its date; you may then cancel the subscription free of charge within 30 days of this information, or of the change if it comes later, and obtain a refund of the part of the price corresponding to the remaining period (Articles L.224-25-25 et seq. of the French Consumer Code). A price increase is announced to you by the store before it applies, under its rules, and you can cancel before the renewal.

10.3 Purchase and price

The subscription is bought only through in-app purchase on the App Store (Apple) or Google Play (Google), with the account and payment method you have registered there. Constella receives no subscription payment directly and never sees any card data. The price is set and displayed by the store, in your currency and including taxes, before you confirm; the store charges it on confirmation and then at each renewal, under its own terms.

10.4 Renewal and cancellation

The subscription renews automatically every month, at the price then in force in the store, until you cancel it. You can cancel at any time in your App Store or Google Play account settings, at least 24 hours before the end of the current period; it stays active until the end of the period already paid. Switching from Constella PLUS to Constella MAX takes effect immediately (the store adjusts the price); switching from Constella MAX to Constella PLUS takes effect at the next renewal. Deleting your Constella account, or the App, does not cancel the subscription: only the store can stop it, as the App and the deletion page remind you.

If you were not informed, within the time limits set by law, of your option not to renew the subscription, as required by Article L.215-1 of the French Consumer Code, you may end it free of charge at any time from its renewal, and the part paid in advance for the period after cancellation is refunded to you. Cancellation is done online, in a few steps, in the store’s settings, which the App takes you to directly from your subscription screen; this is the cancellation feature required by Article L.215-1-1 of the French Consumer Code.

10.5 Refunds

Subscription payments and refunds go through the store that charged you, under its terms: so you first send any refund request to the store. Where the law entitles you to a refund (withdrawal, lack of conformity, change or discontinuation of the Service) and the store does not make it, Constella refunds the amount due itself. A subscription refunded or revoked by the store immediately stops providing its benefits.

10.6 End of the benefits

When the subscription ends (cancellation reaching its term, payment declined beyond the store’s grace period, refund), the benefits stop: check-ins, receiving limits and XP return to the standard rules, the exclusive ornament and sky can no longer be worn (your look returns to the automatic choice), the logo disappears and the monthly gift is no longer given. What you have already obtained is yours to keep: chests, boosters, cards and XP earned during the subscription, even not yet opened, except in case of fraud (Article 8).

10.7 Right of withdrawal

From the moment of purchase, the subscription gives access to a digital service (the plan’s benefits) and, with Constella MAX, to digital content (the monthly gift). You have a right of withdrawal of 14 days from the purchase, which you exercise through the store’s refund procedure, or by sending your decision to support, for example using the form in Article 9.5. By confirming the purchase, you ask for the subscription to start immediately: if you then withdraw, you only pay the part of the price corresponding to the service provided until your withdrawal (Article L.221-25 of the French Consumer Code). For digital content supplied as soon as it is delivered (the Constella MAX monthly gift, once received), you acknowledge that you lose your right of withdrawal, under Article L.221-28 13° of the French Consumer Code and Article 16(m) of Directive 2011/83/EU. The rights you hold under the store’s terms are not affected.

11. Conduct, content and moderation

You keep the rights to your content (titles, descriptions, notes, profile photo). You grant Constella, for as long as necessary, the right to host, reproduce and display it to your duo for the sole purpose of running the Service.

In particular, you must not:

You can block an account that bothers you at any time (Profile › My friends): it can no longer send you requests or trades, and your pending trades with it are cancelled.

Moderation. The content of a duo is private: Constella does not monitor it generally. It only reviews content or behaviour following a report (Article 12), a support request, a request from an authority, or when its security checks (caps, fraud detection, username filter) reveal abuse. Decisions to remove content or restrict an account are taken case by case by a member of our team; only automatic security measures (refusal of a username, caps, suspension of receiving money while a Stripe balance is negative) apply without human intervention.

Depending on the seriousness and repetition of the facts, and taking into account everyone’s rights and legitimate interests, Constella may: remove or disable access to content that is illegal or contrary to the Terms; restrict certain features (card trades, leaderboard, bonus wheel, receiving money); temporarily suspend or close an account (Article 16). Except in an emergency or where the law forbids it, you are informed of the decision, its scope and duration, the facts and the rule on which it is based, any use of automated means, and how to challenge it: a complaint to support, reviewed by a member of our team, mediation (Article 21) or the courts.

12. Reporting illegal content or abuse

Anyone, even without an account, can report to us content or behaviour they consider illegal or contrary to the Terms: in the App, from Profile › Settings › Help and support, topic “Report abuse or content”, or by email to contact@constellatcg.com. So that we can act, the report states: why you consider the content illegal; where to find it, as precisely as possible (username, duo, bubble, date); your name and email address (except for child sexual abuse material); and a statement confirming your good-faith belief that this information is accurate and complete (Article 16 of Regulation (EU) 2022/2065). We acknowledge receipt of the report, review it diligently and objectively, and inform you of our decision and of the available remedies. When we become aware of information giving rise to a suspicion of a criminal offence threatening the life or safety of persons, we inform the competent authorities. Authorities send their orders and requests to the point of contact in Article 1. If there is immediate danger, first contact your country’s emergency services (112 in the European Union).

13. Help and support

Questions, complaints and disputes are handled from Profile › Settings › Help and support: choose a topic (payment, duo, report, account and data, something isn’t working, other), write your message and follow the reply in the App and by email. We normally reply within 48 business hours. The address contact@constellatcg.com remains available if you can no longer access the App.

To handle a request, support may view the history of a bubble and its payment. It can neither approve a bubble on the Author’s behalf nor charge anyone without their approval; it can cancel a bubble, release a hold or ask Stripe for a refund in the cases provided by law.

14. Availability, changes and legal guarantee

Constella strives to keep the Service available at all times, but cannot guarantee it: maintenance, updates and outages may interrupt it. Constella may change the App, for the reasons set out in Article 8 (“Changing rules”); a version that is too old may need to be updated to keep working. If Constella were to discontinue the Service, it would notify you at least 30 days in advance, let you export your data and, as the law provides, refund the unused part of a subscription.

Legal guarantee of conformity. Constella is liable for any lack of conformity of the App and of the digital content and services it supplies to you, including free of charge, under the conditions of Articles L.224-25-1 et seq. of the French Consumer Code. For what is supplied continuously (the App, a subscription), the guarantee covers any defect that appears during the period of supply, without you having to prove that it already existed; for content supplied in a single act (for example a gift), it covers defects that appear within two years of supply, and during the first year you only need to establish that the defect exists, not when it appeared. Constella supplies you with the updates needed to keep the App in conformity and informs you of them; it is not liable for a defect due solely to your not installing an update offered to you. In case of a defect, you are entitled to have it brought into conformity, free of charge and within a reasonable time; failing that, or if the defect is serious, to a price reduction or to termination of the contract, with a refund. Report the defect to support (Article 13).

15. Liability

Constella provides a tool for connecting people and making payments. It is not a party to commitments made between Users (Article 2): it is not responsible for whether a bubble is carried out, or whether a voucher, surprise or swap is honoured. Decisions Stripe takes under its own agreement with you (identity checks, delays, refusals) are Stripe’s responsibility.

Constella is liable for damage caused by a failure to meet its obligations, under the ordinary rules of law. It is not liable for damage resulting from your own conduct, from the conduct of a third party unrelated to the Service (for example your partner in carrying out their commitments) or from force majeure within the meaning of Article 1218 of the French Civil Code. Nothing in the Terms limits the rights you hold under the law as a consumer.

16. Suspension, termination, deletion

You can delete your account at any time from Profile › My account › Delete my account, or, without the App, on the Delete my account page, as long as no bubble is in progress in your duos. Your data is anonymised, your duos dissolved, your friends removed, your pending trades cancelled and your game items lost; what must be kept is kept as described in the Privacy Policy. Deleting your account does not cancel a Constella PLUS or Constella MAX subscription: cancel it in the store (Article 10.4).

Your Stripe payment account, if you have one, is not closed when you delete your Constella account: it binds you directly to Stripe (Article 9.2), and the money in it remains yours. Any available balance left in it is transferred to you free of charge, under the conditions of the automatic transfer (Article 9.3). You can ask Stripe to close this account, or ask support, who will pass on the request.

Constella may restrict, suspend or close an account in case of a serious or repeated breach of the Terms, fraud, or at the request of an authority or of Stripe, through a proportionate measure, after informing you and giving reasons for its decision (Article 11), except in an emergency or where the law forbids it; you can challenge it with support. Bubbles in progress are then cancelled and holds released.

17. Personal data

Your data is processed in accordance with the Privacy Policy. You can export your data at any time (Profile › Settings › Security and data › Export my data) and delete your account.

18. Intellectual property

The App, its brand, visuals, cards and texts belong to Constella or its licensors. Constella grants you a personal, non-exclusive, non-transferable and revocable licence to use the App for your private use. The open-source components used are credited in Profile › Settings › Credits and licences.

19. App stores

If you downloaded the App from Apple’s App Store or Google Play, those stores’ terms also apply. Apple and Google are not parties to the Terms and are responsible neither for the App nor for its maintenance or support. For an App obtained from the App Store, Apple and its subsidiaries are third-party beneficiaries of the Terms and may enforce them.

20. Changes to the Terms

Constella may change the Terms to reflect a change in the Service, in the law or case law, or a request from an authority. Each version is dated and remains available. A significant change is presented to you in the App, with a summary of what changes, and must be accepted before you post a new bubble or request a transfer. It does not change the amount already held for a posted bubble, or the price of a subscription period already paid. If you refuse it, you can complete your bubbles in progress, cancel your subscription and delete your account, free of charge. A change that does not alter your rights and obligations (correction of an error, clarification, translation) applies as soon as it is published.

21. Governing law, disputes and mediation

The Terms are governed by French law. If you are a consumer, you keep the protection of the mandatory provisions of the law of the country where you habitually reside.

If a problem arises, first write to support (Article 13). If your written complaint is not resolved, you can use, free of charge, the consumer mediator Constella belongs to: CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 49 rue de Ponthieu, 75008 Paris, France — www.cm2c.net — 01 89 47 00 14. The mediator must be contacted within one year of your written complaint to Constella (Article L.612-2 of the French Consumer Code). You can also bring a claim before the competent courts; if you are a consumer, you may in particular choose the court of the place where you lived when the contract was concluded or when the harmful event occurred (Article R.631-3 of the French Consumer Code), or that of your country of residence in the European Union where European law allows it.

22. Languages

The Terms are available in French, English, Spanish, Portuguese (Brazil), German, Italian and Japanese. If the versions differ, the French version prevails.
